Vertoz Acquires Webimax LLC, Strengthening Its Global Presence

Vertoz Limited has announced the acquisition of Webimax LLC, a profitable AI-driven marketing automation company based in New Jersey, USA. The acquisition is executed through Vertoz Inc. (USA), reinforcing Vertoz’s strategic focus on expanding its global MadTech and CloudTech footprint. 

Under the definitive agreement, Vertoz will acquire 100% of Webimax in two tranches. The first tranche includes an 80% stake for USD 5.28 million, which also covers a contingent earn-out of up to USD 0.4 million, payable upon achievement of agreed performance conditions. The remaining 20% will be acquired over the next three years, linked to clearly defined performance milestones. Webimax’s incumbent management will continue to lead operations. 

The transaction values Webimax at a total enterprise value of USD 6.6 million, supported by CY24 performance: USD 12 million in revenues, USD 2.4 million adjusted EBITDA, and USD 1.8 million adjusted PAT. 

A Financially Disciplined and Shareholder-Friendly Acquisition 

The acquisition is funded through a balanced structure: 

• 75% debt from a leading Indian government financial institution that supports the global expansion of Indian companies
• 25% through Vertoz’s internal cash flows 

This approach reflects confidence in Vertoz’s financial strength, strong free-cash-flow position, and commitment to non-dilutive growth. Webimax adds further stability with a highly efficient, cash-generative model and a one-month debtor cycle. 

Immediate Positive Impact on Vertoz’s Consolidated Financials 

Once the customary closing conditions are completed, the acquisition is expected to be immediately accretive: 

• USD 9.5 million (INR 87 crore) incremental annualised revenue to Vertoz’s existing INR 300 crore
• INR 17 crore potential annualised PAT contribution, strengthening Vertoz’s profitability profile
• Expected improvement in Return on Equity, currently at 16% 

The addition of Webimax enhances Vertoz’s revenue base and accelerates the company’s move toward an AI-first, globally scalable technology ecosystem.
